1. Agreement
These terms are an agreement between Flowpoint ("we", "us") and the business that uses Flowpoint ("you", "the Customer"). By using Flowpoint you accept these terms. If you accept them for a business, you confirm you are authorised to do so.
If you have signed an order form or agreement with us, it takes precedence over these terms where the two differ. The Service Level Agreement and the Privacy Policy form part of these terms.
2. The service
Flowpoint lets you create, validate, review, approve, sign and report invoices to the Nigeria Revenue Service (NRS). We submit invoices to NRS on your behalf, using your own NRS credentials. Availability, performance and support commitments are set out in the Service Level Agreement.
3. Accounts and access
- Accounts are set up by invitation from our team.
- Keep sign-in details secure and do not share accounts. You are responsible for the users you add and for what they do in Flowpoint.
- Tell us promptly at [email protected] if you suspect unauthorised access.
5. Your responsibilities
- The accuracy and completeness of the invoice data you enter, upload or sync.
- Reviewing invoices before they are submitted, and your own tax obligations and filings.
- Having a lawful basis for the personal data of your customers and suppliers that you put into Flowpoint. For that data you are the data controller and we process it on your instructions.
- Using Flowpoint in line with applicable law.
6. What we do not provide
Flowpoint does not provide tax, legal or accounting advice. Its validation checks reduce errors but do not guarantee that NRS will accept an invoice or that your tax treatment is correct.
NRS systems are outside our control. We are not responsible for NRS outages, delays or decisions.
7. Acceptable use
You must not:
- use Flowpoint for anything unlawful, including issuing false or misleading invoices;
- try to access accounts or data that are not yours, or interfere with the service or its security;
- copy, resell or reverse engineer Flowpoint, except where the law allows;
- exceed published rate limits, or share access with people outside your business.
8. Fees
Fees are as set out in your order form or invoice and are payable on the terms stated there. Taxes such as VAT are added where they apply. If fees are overdue, we may suspend the service after giving you notice.
9. Your data
You own your data. You allow us to process it only to provide, secure and support Flowpoint, as described in the Privacy Policy. Invoice and NRS submission records are kept for 7 years as tax records, and you can export your invoice data at any time.
10. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.
11. Intellectual property
Flowpoint, including its software, design, documentation and brand, belongs to us. You receive the right to use it during your subscription and no other rights. If you send us feedback, we may use it to improve Flowpoint.
12. Availability and changes
The Service Level Agreement sets out our availability and support commitments. We improve Flowpoint over time and may change features, but we will not materially reduce its core functionality during a paid term without notice.
13. Suspension and termination
- Either party may end the service as set out in your order form or agreement.
- We may suspend access to protect the service or other customers, if these terms are seriously breached, or if fees remain unpaid after notice.
- After termination, your data remains available for export as set out in the Service Level Agreement.
14. Warranties
We will provide Flowpoint with reasonable skill and care. Except as these terms state, and to the extent the law allows, Flowpoint is provided without other warranties.
15. Limitation of liability
Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or data. Our total liability arising from Flowpoint in any 12-month period is limited to the fees you paid us in that period. Service credits under the Service Level Agreement are the remedy for availability failures.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.
16. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute in good faith; disputes that cannot be resolved go to the courts of Lagos State.
17. Changes to these terms
We may update these terms. We will give business customers at least 30 days' notice of material changes by email. Continuing to use Flowpoint after that notice means you accept the updated terms.
